WHOLESALE DATA (INDEX) SCHEDULE

(Schedule to the Greendex Master Subscription Agreement)

This Wholesale Data Schedule (“Schedule”) supplements and forms part of the Greendex Master Subscription Agreement (the “Agreement”) between United Green Connections, LLC (“Company”) and Customer. It applies solely to Customer’s subscription to Wholesale Data (Index). Capitalized terms used but not defined in this Schedule have the meanings given to them in the Agreement.

1. Description of Wholesale Data (Index)

Wholesale Data (Index) is a subscription market intelligence product that provides Customer with aggregated wholesale cannabis pricing data, including floor, going-rate, and ceiling figures, organized by product category and by state (the “Index”). Customer subscribes to Wholesale Data (Index) on a per-state basis as set forth in the applicable Sales Order.

2. Subscription Scope

Customer’s Wholesale Data (Index) subscription provides access to Index data only for the state(s) selected in the applicable Sales Order. Access to additional states requires an additional subscription and corresponding fee as set forth in a Sales Order or amendment.

3. Data Contribution Program (Optional)

3.1 Opt-In Contribution. Customer may, but is not required to, opt in to Company’s data contribution program, under which Customer submits its own wholesale transaction data to Company for inclusion in the Index (“Contributed Data”) in exchange for a discount on Customer’s Wholesale Data (Index) subscription fee, the amount and terms of which will be set forth in the applicable Sales Order or a separate data contribution addendum.

3.2 Use of Contributed Data. Contributed Data is treated as Customer Data under the Agreement and is used by Company solely in aggregated, non-attributable form as part of Cannabis Market Data, consistent with Sections 6 and 8 of the Agreement. Company will not disclose Customer as the source of any specific transaction reflected in the Index.

3.3 Permanence of Contribution. As described in Section 8.1 of the Agreement, Contributed Data becomes part of the Index's historical aggregate figures and generally cannot be retroactively removed once incorporated, even if Customer later cancels its Wholesale Data (Index) subscription, opts out of future contribution, or terminates the Agreement. Customer acknowledges this before enabling data contribution.

3.4 Opting Out. Customer may opt out of future data contribution at any time by written notice or through the applicable in-product setting. Opting out stops future contribution and the associated discount going forward but does not affect Contributed Data already incorporated into the Index as described in Section 3.3.

4. No Accuracy Warranty

As stated in Section 10.2 of the Agreement, Company does not warrant or guarantee the accuracy, completeness, or timeliness of the Index or any pricing figure derived from it. Customer is solely responsible for any business or pricing decision made in reliance on Wholesale Data (Index).

5. Restrictions on Use and Redistribution

5.1 Internal Use Only. Customer may use Index data solely for its own internal business purposes. Customer may not resell, sublicense, redistribute, publish, or otherwise make the Index or any material portion of it available to any third party, whether for compensation or free of charge, without Company’s prior written consent.

5.2 No Competing Product. Customer may not use Index data to build, operate, or contribute to any product or service that aggregates, indexes, publishes, or resells wholesale cannabis pricing or market intelligence, whether for Customer’s own benefit or that of any third party.

6. Fees

Fees for Wholesale Data (Index) are as set forth in the applicable Sales Order and Section 5 of the Agreement, charged per state selected, subject to any data contribution discount described in Section 3 above.
